1. Introduction & Acceptance
These Terms and Conditions ("Terms") govern your access to and use of all products, websites, APIs, software, and services provided by Parallel Technologies Pty LTD ("Company", "we", "our", "us"). By accessing or using any part of our services you agree to be bound by these Terms. If you do not agree, do not use our services.
Definitions
- Service(s): any product, web application, API, integration (including payment integrations), or other software made available by Company.
- Client / Customer / You: any person or entity using the Service.
2. Description of Services
We provide technology solutions including but not limited to web application development, API and integration services (including payment processing connectors), hosting, monitoring, maintenance, and consulting. Specific features, SLAs and deliverables for each product are described in your service order, subscription agreement, or product documentation.
3. Eligibility
You must be at least 18 years old (or of legal age in your jurisdiction) to use our Services. You represent and warrant that you have full authority to enter into these Terms on behalf of any organization or entity you represent. Use from or by persons in embargoed or sanctioned countries is prohibited.
4. Account Registration & Responsibilities
Where the Service requires registration, you agree to provide accurate information, keep credentials secure, and accept responsibility for activities occurring under your account. You must notify us immediately of any unauthorized use of your account.
5. Acceptable Use
You agree not to use our Services to:
- Engage in illegal activity, fraud, or money laundering.
- Attempt to breach, reverse engineer, or otherwise compromise our systems or services.
- Send spam, malware, or distribute unlawful content.
- Use our APIs or integrations to process prohibited transactions.
6. Fees, Payments & Billing
Fees for paid Services are set out in your order or subscription. We may bill recurring subscriptions automatically until canceled. All payments are non-refundable except as expressly stated in writing. You are responsible for taxes related to your use of the Services (unless we collect taxes on your behalf).
Payment processors & PCI
We may use third-party payment processors to accept payments. You are responsible for complying with any applicable payment rules (e.g., PCI DSS) for your use of payment-related features. We do not store full payment card numbers unless explicitly stated and governed by a separate agreement.
7. Data Privacy & Security
Our Privacy Policy describes how we collect, use, and share personal data. We implement reasonable technical and organizational safeguards to protect your data, but no system is perfect—transmission risks exist. You are responsible for obtaining consents and lawful bases (where required) for personal data you provide to us.
Data Processing & Subprocessors
Where we process personal data on your behalf, we will do so as a processor under a separate Data Processing Agreement (DPA) that reflects applicable laws (e.g., GDPR, POPIA). We may engage subprocessors and will make a current list available on request.
8. Intellectual Property & License
Except for content you upload or license to us, we own all rights, title and interest in our Services, including software, documentation, and trademarks. We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms and any applicable product documentation.
User Content
You retain ownership of content you upload. By uploading content, you grant us a license to host and operate the Service, to the extent necessary to provide the Service to you.
9. Termination & Suspension
We may suspend or terminate access for violations of these Terms, non-payment, suspected abuse, or as required by law. Upon termination, we may delete or retain data in accordance with our data retention policies and any written agreement. If you terminate, you remain responsible for any unpaid fees.
10. Disclaimers & Limitation of Liability
The Services are provided "AS IS" and "AS AVAILABLE" without express or implied warranties to the fullest extent permitted by law. We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the extent permitted by law, our aggregate liability for any claim arising out of or relating to these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the act giving rise to liability (or a nominal amount if you have not paid us).
11. Indemnification
You agree to indemnify, defend and hold harmless the Company, its officers, directors and employees from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any third-party rights.
12. Governing Law & Dispute Resolution
These Terms are governed by the laws of Republic of South Africa. Any dispute will be subject to the exclusive jurisdiction of the courts located in that jurisdiction, unless otherwise agreed in writing (e.g., arbitration clause).
13. Changes to Terms
We may update these Terms from time to time. We will provide notice of material changes (by email or in-product notice) and post the updated version on our website with a new Effective Date. Continued use after the Effective Date constitutes acceptance of the updated Terms.

15. Service-specific Addenda
Certain products may have additional terms (for example: API Terms, Payment Integration Terms, or Hosting Service Level Agreements). Where applicable, those product-specific terms supplement and, in case of conflict, supersede these Terms for that product.

API keys are issued to a single account and must be kept confidential. We may enforce rate limits and usage quotas; misuse may result in suspension.
Example: Payment Integration Terms
If you use payment features, you must comply with applicable financial, anti-money laundering and card network rules. We may pass transaction data to our payment gateway partners to process payments and refunds.
